Part A. No-Resale Condition

The Software is provided to you by the Licensor under the MIT License in Part B, subject to the following condition.

  1. Definitions.
  2. "Licensor" means [SELLER LEGAL NAME].
  3. "Software" means the free components, blocks, templates, engine code, design tokens and accompanying files published by the Licensor as VibeBox Motion under this License, in source or compiled form, including any modified, translated or ported version of them.
  4. "Item" means any individual component, block, template, engine piece, token sheet or other unit of the Software.
  5. "End Product" means a website, web application, mobile application or other finished product, made by you or for your client, in which the Software is incorporated to serve that product's own purpose, and which is not itself a Competing Offering.
  6. "Competing Offering" means any product, service or collection whose value derives entirely or substantially from the Items themselves rather than from an End Product. Examples include a component library, UI kit, design system offered to others, template, theme, starter, boilerplate, snippet collection, code generator, website builder, low-code or no-code tool, AI prompt pack, or marketplace listing, whether offered for a fee or free of charge.
  1. Condition. The grant of rights in Part B does not include, and the Licensor does not grant you, the right to:
  2. sell, sublicense, license, rent or lease the Software or any Item, alone, in a bundle, or as a ported version;
  3. distribute, publish or make the Software or any Item available as, or as part of, a Competing Offering, whether for a fee or free of charge;
  4. remove or alter the copyright notice and this License in any source file that contains an Item or a substantial portion of one.
  1. What remains allowed. For clarity, you may, subject to Part B:
  2. use the Software in an unlimited number of End Products, for yourself, your employer or your clients, for any personal or commercial purpose;
  3. modify the Software for those End Products;
  4. build, deploy, host, sell and distribute End Products, including delivering an End Product's source code to your client, and publishing an End Product's source code, as long as the Items are not offered or promoted for reuse apart from that End Product.
  1. Attribution. No attribution is required in the interface of an End Product. The notices in the source files must remain.
  1. AI systems (optional clause, for legal review). You may not use the Software as input to train, fine-tune or prompt a system for the purpose of producing a Competing Offering.
  1. Names and marks. This License grants no rights to the names "VibeBox" or "VibeBox Motion" or to any logo or mark of the Licensor.
  1. Third-party materials. Packages the Software depends on (for example motion, three, zod) are licensed by their owners under their own terms, which this License does not change.
  1. Termination. Your rights under this License end automatically if you breach this condition. If you cure the breach within 30 days after you become aware of it, your rights are reinstated, unless the Licensor has given you written notice of termination for repeated breaches.
  1. Governing law. This Part A is governed by the laws of [GOVERNING JURISDICTION], subject to any mandatory law that applies to you.
