Plain-language summary (not part of the licence)

• One licence seat per developer. Every developer who works with Pro source needs a seat.
• Use Pro items in unlimited end projects, including client work. Your clients may use and maintain what you deliver.
• Keep using every version you downloaded, forever, even after your subscription ends.
• Never share, resell or publish Pro source, or put it in a kit, template, builder or marketplace.
• Monthly and Yearly give access to Pro and every new drop while they are paid. Lifetime gives that access for as long as VibeBox Motion Pro is offered.

VibeBox Motion Pro License, version 1.0

This VibeBox Motion Pro License (the "License") is an agreement between [SELLER LEGAL NAME], located at [SELLER ADDRESS] ("Seller"), and the individual or organisation that buys a VibeBox Motion Pro plan ("Buyer"). Questions may be sent to vibeboxph@gmail.com.

1. Definitions

Licensed Software means the VibeBox Motion Pro components, blocks, templates, modules, engine code, design tokens, documentation, examples and updates that Seller makes available to Buyer through the Pro registry, downloads or the account page, excluding Third-Party Materials. Free VibeBox Motion items remain under the VibeBox Motion Free License.

Seat means one licence for one Licensed Developer. Buyer may buy one or more Seats.

Licensed Developer means the natural person assigned to a Seat in Buyer's account.

Plan means the plan Buyer bought: Pro Monthly, Pro Yearly, Lifetime, or Founding Lifetime.

Active Term means:

• for Pro Monthly and Pro Yearly, each period for which the subscription has been paid and not ended; and
• for Lifetime and Founding Lifetime, the period during which Seller offers VibeBox Motion Pro.

Downloaded Version means a version of the Licensed Software lawfully obtained by a Licensed Developer during an Active Term, through the Pro registry, a download, or otherwise from Seller.

End Project means a personal project, commercial application or client project in which the Licensed Software is integrated as part of a larger finished product and is not offered as a reusable substitute for the Licensed Software.

Client Completed Application means a completed End Project delivered to a client in compiled, deployed or application-source form as reasonably necessary for the client to use and maintain that application. It does not include transferring the Licensed Software as a separately usable component, package, library, template, boilerplate, starter or source asset.

Registry Token means a credential Seller issues to access the Pro registry or downloads.

Third-Party Materials means software, code, fonts, assets or other materials owned by third parties and supplied under separate licences.

2. Licence grant

Subject to payment and compliance with this License, Seller grants each Licensed Developer a perpetual, worldwide, non-exclusive, non-transferable licence to:

• use the Licensed Software in unlimited personal, commercial and client End Projects;
• modify the Licensed Software for those End Projects;
• build, deploy, host and distribute End Projects; and
• permanently use all Downloaded Versions, including after the Active Term ends, as described in Section 4.

Each Seat covers one Licensed Developer. Every other developer who accesses or works with the Licensed Software source must hold a Seat.

3. Access during the Active Term

During the Active Term, Licensed Developers may access the Pro registry, download the Licensed Software, and receive new items and updates when Seller publishes them. Seller aims to publish new items regularly but does not promise any particular schedule, item, feature or platform.

4. After the Active Term

When an Active Term ends (for example when a subscription is cancelled or not renewed):

• access to the Pro registry, downloads and new versions ends, and Registry Tokens are revoked;
• this License continues for all Downloaded Versions; and
• [OPTION A, decision 0012 default] the Licensed Developer may continue to use Downloaded Versions in existing and new End Projects.
• [OPTION B, alternative] the Licensed Developer may continue to use Downloaded Versions in End Projects started before the Active Term ended, and must not start new End Projects with them.

If Seller stops offering VibeBox Motion Pro, Lifetime and Founding Lifetime holders keep this License for all Downloaded Versions.

5. Seats and teams

• Buyer assigns each Seat to one natural person and may reassign a Seat when that person no longer needs access, at most once every 90 days per Seat, unless Seller agrees otherwise.
• Contractors who access the Licensed Software source need their own Seat or a Seat assigned by Buyer.
• Registry Tokens are credentials. Keep them secret, store them only in private environment variables or secret stores, and never commit them to a repository or share them.

6. Client work

The Licensed Developer may deliver a Client Completed Application to a client and may include modified Licensed Software within it. The client may use and maintain the Client Completed Application, including through other developers it hires for that application.

This permission does not transfer the License or allow the client, Buyer or anyone else to extract, reuse, share, publish, sell or distribute the Licensed Software as a standalone or reusable asset. A client or contractor who needs separate access to the reusable Licensed Software source must obtain a Seat.

7. Restrictions

Buyer and each Licensed Developer must not:

• share, lend, sublicense, assign or otherwise transfer the Licensed Software, a Seat or a Registry Token;
• place the Licensed Software in a public repository or any other location accessible to people without a Seat, except as compiled code within a deployed End Project;
• resell, redistribute or make the Licensed Software available on a standalone basis;
• package or offer it, whether for a fee or free of charge, as a component library, package, UI kit, template, theme, boilerplate, starter, website builder resource, low-code or no-code resource, code generator, AI prompt pack, or similar reusable development asset;
• use it to create or supply a product whose primary purpose is to replace or substantially replicate VibeBox Motion;
• list or distribute it through a competing component, template, source-code or digital-asset marketplace;
• remove, obscure or alter copyright, attribution, licence or proprietary notices that must remain under this License or a third-party licence; or
• enable anyone else to do anything this Section prohibits.

Normal distribution of a Client Completed Application is allowed only as described in Section 6.

8. Support

Seller will provide reasonable installation support by email at vibeboxph@gmail.com during the Active Term (and for 30 days after purchase for Lifetime and Founding Lifetime). Support is limited to installing the Licensed Software and understanding its documented setup.

Support excludes custom feature development, application architecture, general debugging, third-party integration work, data migration, production operations, training, and issues caused by unsupported modifications or environments. Support has no guaranteed response or resolution time and no service-level agreement.

9. Fees, renewal and refunds

• Plans are sold through [Lemon Squeezy], which acts as merchant of record. Prices are those shown at checkout.
• Pro Monthly and Pro Yearly renew automatically until cancelled. Cancelling stops the next renewal; the current paid period continues to its end.
• Refunds follow the VibeBox Motion refund policy shown at checkout [to be drafted], subject to any rights that cannot lawfully be excluded.

10. Ownership

Seller retains ownership of Seller's original Licensed Software and all intellectual property rights not expressly granted by this License. Buyer owns Buyer's End Projects and Buyer's original modifications, subject to Seller's continuing ownership of the underlying Licensed Software and the restrictions in this License.

Third-Party Materials remain owned by their respective owners and are governed by their own licence terms, which this License does not replace or restrict.

This License grants no rights to the names "VibeBox" or "VibeBox Motion" or to any logo or mark of Seller.

11. Termination

This License terminates automatically if Buyer or a Licensed Developer commits a material breach and does not cure it within a reasonable period after notice, where the breach can be cured. Seller may revoke Registry Tokens immediately when they are shared or exposed.

On termination, Buyer and each Licensed Developer must stop using the Licensed Software and delete all copies under their control, except that lawfully distributed Client Completed Applications may continue to be used by their clients unless applicable law requires otherwise. Buyer must promptly delete or retrieve, where reasonably possible, all improperly distributed copies. Termination does not limit any other remedy available under applicable law.

12. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in this License excludes a warranty, guarantee or other right that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELLER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL, ARISING FROM THE LICENSED SOFTWARE, SUPPORT OR THIS LICENSE.

SELLER'S TOTAL LIABILITY ARISING FROM THE LICENSED SOFTWARE, SUPPORT OR THIS LICENSE WILL NOT EXCEED THE AMOUNT BUYER PAID FOR THE LICENSED SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM. These limitations do not apply where liability cannot lawfully be limited or excluded.

14. General terms

Buyer may not assign or transfer this License without Seller's prior written consent. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. This License and any terms presented at checkout form the entire agreement about the Licensed Software and supersede prior statements on that subject.

Seller may publish new versions of this License. A new version applies to versions of the Licensed Software obtained after it takes effect; Downloaded Versions obtained earlier stay under the version in force when they were obtained.

This License is governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-laws rules, except to the extent mandatory law provides otherwise. Courts or tribunals with jurisdiction in [GOVERNING JURISDICTION] will hear disputes, subject to any non-waivable consumer rights.
